The Supervisory Board of AB “Ignitis grupė” (the “Parent Company”) announces the selection process for the Parent Company’s Management Board.

The Management Board consists of five members who are elected by the Supervisory Board for a four-year term and are primarily responsible for the following areas: Strategy & Management (Chair of the Management Board and Group CEO), People & Business Support (Group Chief Organisational Development Officer), Finance (Group Chief Financial Officer), Energy Markets & Commerce (Group Chief Commercial Officer), and Regulated Business & Government Relations (Group Chief Regulatory Officer).

The members of the Management Board will have group-wide, full-time responsibilities and will be employed as employees of the Parent Company. In addition, the selected candidate will be required to enter into a non-compete agreement.

About the Management Board’s role

The Management Board, jointly with the Supervisory Board, shapes Ignitis Group’s strategy, financial plans, annual budget, risk management, and investment policy. It approves key strategic initiatives and sustainability plans, sets strategic targets and common policies for Group companies, and performs other functions defined by law and the Parent Company’s Articles of Association.

Each Management Board member ensures proper performance of the Group’s activities, overseeing their area of responsibility at the Group level. Management Board members also supervise the Group’s subsidiaries and are appointed as members of their Boards.

The salary range for all positions, except for the CEO, is from EUR 15,040 to EUR 18,400 (before tax). The final offer will depend on the candidate’s experience and competencies. A variable part of remuneration may be paid depending on results.

REQUIREMENTS AND RESPONSIBILITIES

 Mandatory requirements applicable to all Management Board competency profiles:

  • At least 3 years’ experience in a C-level executive position in a large company (which has at least 500 employees) or group of companies which operates internationally.
  • Work experience in collegial management and/or supervisory bodies of a company/companies. 
  • Proven leadership track record, including strategic decision-making, stakeholder influence and the experience to shape the company’s culture through organizational transformation. 
  • English and Lithuanian level C1 or higher. 

Specific requirements, advantages and responsibilities applicable to specific Management Board competency profiles:

1. People & Business Support (Group Chief Organisational Development Officer), and Member of the Management Board

Mandatory requirements

  • At least 3 years of executive leadership experience in a CHRO/ Organizational Development role in a large company (which has at least 500 employees) or group of companies.
  • Experience in designing target operating models for a group of companies and steward corporate governance practice of regulated, state-owned or listed companies, with the ability to design effective matrix organisational models, ensuring clear accountabilities, efficient decision-making, alignment across companies.
  • Experience in designing people and culture strategy, including D&I, performance, organizational culture.
  • 5+ years’ experience in executive-level team formation, succession planning, executive recruitment, design of remuneration and incentive system development, including LTI & STI governance aligned with listed-company standards.
  • At least 5 years’ professional experience in planning and implementing enterprise-wide strategic changes (i.e. operating model redesign, culture and ways-of-working shifts, digital and AI-enabled transformation), applying and/or implementing models and tools for developing the organization and its culture.

  • Leadership experience in a listed company or group of companies.
  • Leadership experience working across multiple geographies.
  • Awareness of global energy trends and their impact on local developments.
  • Understanding of sustainability/ESG frameworks within the specific area of expertise, and the ability to apply them strategically in the domain.
  • Grasp on national and regional strategic energy goals.

Responsibilities

  • Shape a purpose-driven culture across the Group, driven by our core mindsets.
  • Lead the Group-wide People and Diversity & Inclusion strategy, ensuring alignment and agility with short-term & long-term workforce needs and business strategy.
  • Design target operating models for a group of companies and steward corporate governance practice.
  • Oversee organizational transformation, including AI-enabled workforce and process modernization to support strategy execution.
  • Steward management of the Group’s business services, including Shared Service Centre.
  • Translate business strategy into talent and capability models for future energy needs.
  • Represent the Group and manage stakeholder relations within the domain of responsibility, including the Supervisory Board, Committees, etc.
  • Participate in the collegial bodies of Group subsidiaries, where applicable.

2. Finance (Group Chief Financial Officer), and Member of the Management Board

Mandatory Requirements

  • At least 3 years of executive leadership experience in a CFO role in a large company (which has at least 500 employees) or group of companies.
  • At least 5 years’ professional experience in financial management / consulting / financial services / audit / accounting.
  • Experience in forming business strategy, managing strategic and operational long-term financial planning and annual budget in a consolidated group structure, implementing cost control, tracking budget deviations and any necessary long-term changes.
  • At least 5 years’ experience in evaluating and financing investment projects and in forming & managing investment portfolio policy.
  • At least 5 years’ experience in attracting debt and equity financing (> EUR 100m) and managing M&A processes (> EUR 100m, buy and sell side).
  • Experience in establishing and overseeing a comprehensive professional group-level risk management framework and internal controls framework.

Advantages

  • Proven experience in senior finance leadership, e.g. leading large finance teams (>50 FTE) across entities / countries and/or experience in an executive role in a company with market capitalization > EUR 500m or listed group with assets > EUR 1bn.
  • Work experience in a company, the securities of which are being traded on a stock exchange with a free float value of over EUR 100 million and experience in cooperating with shareholders and investors.
  • Experience in managing large-scale capital investment programmes (e.g. total CAPEX > EUR 1bn), including capital allocation and portfolio prioritisation.
  • Experience in capital markets management, including cooperation with rating agencies and managing credit rating targets for an investment-grade issuer.
  • Experience in sustainability-linked financing instruments and ESG-related financial disclosures (including EU Taxonomy, CSRD and climate-related financial risks).
  • Recognised professional finance qualification (e.g. ACA, ACCA, CFA or equivalent).
  • At least 3 years’ experience in heavily regulated sectors, e.g. financial services, nuclear, energy and utilities, telecom, defence.
  • Leadership experience working across multiple geographies.
  • Awareness of global energy trends and their impact on local developments.
  • Grasp on national and regional strategic energy goals and regulatory frameworks.
  • Understanding of sustainability/ESG frameworks within the specific area of expertise, and the ability to apply them strategically in the domain.
  • Experience in investor relations, hosting of and presenting in capital markets analyst conferences and roadshows.

Responsibilities

  • Lead Group financial strategy development and execution.
  • Provide strategic oversight of Group budget, cash flow, treasury, financial planning, reporting and performance control.
  • Manage mergers and acquisitions.
  • Shape a purpose-driven culture across the Group, driven by our core mindsets.
  • Participate in the collegial bodies of Group subsidiaries, where applicable.
  • Oversee a comprehensive Group Risk Management and Internal Controls Framework to ensure consistent standards and governance across the organization.
  • Represent the Group and manage stakeholder relations within the domain of responsibility, including investor and other financial stakeholder relations, as well as the Supervisory Board, Committees, etc.

3. Energy Markets & Commerce (Group Chief Commercial Officer), and Member of the Management Board

Mandatory requirements

  • At least 3 years of executive leadership experience in a C-level role in a large company (which has at least 500 employees) or group of companies related to commercial energy generation and supply.
  • Experience in forming a business strategy/commercial strategy, including operational planning and implementation of a company or a group of companies.
  • Proven experience of providing strategic direction for flexibility solutions (storage, virtual power platforms, demand response) as scalable commercial offerings.

Advantages

  • Experience in working with such stakeholders as governmental institutions and regulators.
  • At least 3 years’ experience in heavily regulated sectors, e.g. financial services, nuclear, energy and utilities, telecom, defence.

  • Build long-term competitive advantage across the Group`s commercial activities.
  • Lead and coordinate commercial generation, supply and services activities of the Group.
  • Represent the Group and manage stakeholder relations within the domain of responsibility, including the Supervisory Board, Committees, etc.
  • Provide strategic leadership for the international development and scaling of the Group’s commercial activities.
  • Shape a purpose-driven culture across the Group, driven by our core mindsets.
  • Participate in the collegial bodies of Group subsidiaries, where applicable.
  • Oversee the development and management of a balanced power & gas commodities supply portfolio, including long-term PPAs, customer solutions, managing market risk, credit risk and liquidity risk in line with hedging strategy and rating requirements.

4. Regulated Business & Government Relations (Group Chief Regulatory Officer), and Member of the Management Board

Mandatory requirements

  • At least 3 years of executive leadership experience in a C-level role in a large company (which has at least 500 employees) or group of companies operating in a regulated environment.
  • Proven experience representing an organisation in dialogue with government authorities and regulators.
  • Good understanding of national and regional strategic energy goals, regulatory frameworks and legal acts regulating the energy sector.
  • Experience in managing the implementation of complex regulatory frameworks, including new directives and tariff-setting processes.

Advantages

  • At least 3 years of executive leadership experience in a C-level role in a large company (which has at least 500 employees) or group of companies operating in the energy sector.

  • Lead regulated activities of the Group, ensuring adaptation to evolving regulatory requirements and EU policy.
  • Strategic leadership of regulatory environment improvement and mitigation of related risks by coordinating the Group’s input into public consultations and legislative processes.
  • Represent the Group and manage stakeholder relations (such as governmental institutions, regulatory authorities, industry associations, Supervisory Board, Committees) related to Group regulated activities.
  • Shape a purpose-driven culture across the Group, driven by our core mindsets.
  • Participate in the collegial bodies of Group subsidiaries, where applicable.
