Why are the securities of AB “Ignitis gamyba” and AB “Energijos skirstymo operatorius” no longer traded on the stock exchange?

On 4 December 2019, the Extraordinary General Meetings of Shareholders of AB “Ignitis gamyba” (ISIN code: LT0000128571) and AB “Energijos skirstymo operatorius” (ISIN code: LT0000130023) resolved to delist the companies' shares from the Nasdaq Vilnius Stock Exchange and to appoint AB “Ignitis Group” as the party to submit official offers for the redemption of the shares listed on Nasdaq Vilnius. On 21 May 2020, by decision of Nasdaq Vilnius, the securities of AB “Ignitis gamyba” and AB “Energijos skirstymo operatorius” were delisted from the Baltic Official List of Nasdaq Vilnius (the last trading day of the shares was 30 June 2020).

Following the completion of the mandatory redemption procedures for AB “Ignitis gamyba” AB “Energijos skirstymo operatorius”, 100% of AB “Ignitis gamyba” will be redeemed on 9 September 2021 and 100% of AB “Energijos skirstymo operatorius” will be redeemed on 15 April 2021. Ignitis Group became a 100% shareholder of AB “Energijos skirstymo operatorius”. These decisions became effective on 27 September 2021 and 7 September 2021 respectively.

Who are the shareholders of AB “Ignitis gamyba” and AB “Energijos skirstymo operatorius”?

Following the completion of the mandatory repurchase procedures for AB ”Ignitis gamyba” and AB “Energijos skirstymo operatorius”, 100% of AB “Ignitis gamyba” will be acquired on 9 September 2021 and 100% of AB “Energijos skirstymo operatorius” will be acquired on 15 April 2021. Ignitis Group became a 100% shareholder of AB “Energijos skirstymo operatorius”. These decisions became effective on 27 September 2021 and 7 September 2021 respectively.

When AB “Ignitis gamyba” and AB “Energijos skirstymo operatorius” were delisted, what was the price paid for one share in AB “Ignitis gamyba” and one share in AB “Energijos skirstymo operatorius”?

The price paid per share in AB “Ignitis gamyba” was EUR 0.640 and the price paid per share for AB “Energijos skirstymo operatorius” was EUR 0.880.

Why haven't I received payment for my shares in AB “Ignitis gamyba” and/or AB “Energijos skirstymo operatorius”?

The funds for the shares of AB „Ignitis gamyba“ and/or AB „Energijos skirstymo operatorius“ have been transferred to the shareholders who held the shares in personal securities accounts. Shareholders who held the shares in the books of the issuer or the successors of former shareholders should contact SEB bank in order to receive the funds.

 A free-form request must be submitted to the bank in order for the funds to be paid out: 

  • SEB Bank customers can do this by visiting a bank branch or logging in to their e-bank, indicating the company's shares to be paid for and the personal account number to which the funds should be transferred;
  • non-SEB customers can submit their request for payment of shares by making an appointment for a consultation at the Bank's branch in advance. Persons must have proof of identity at the time of the visit.
When will the funds from the shares of AB “Ignitis gamyba” and/or AB “Energijos skirstymo operatorius” be transferred to my account?

Upon submission of the application to AB “SEB Bank”, the shareholder's funds will be transferred from the Deposit Account to the cash account specified in the application within 5 days from the date of submission of the application with all information necessary for the transfer of funds to AB “SEB Bank”.

How is income from shares in AB “Ignitis gamyba” and/or AB “Energijos skirstymo operatorius” taxed?

How can I get a certificate for acquiring shares in AB “Ignitis gamyba” and/or AB “Energijos skirstymo operatorius”?

If the shares of AB “Ignitis Gamyba” and/or AB “Energijos Skirstymo operatorius” (or their predecessors) were purchased on the stock exchange, you should contact your securities administrator, i.e. your bank, for the purchase price and other details of the purchase:

  • if you had a personal securities account, you should contact the bank where you had such an account and held the shares;
  • If you have not opened a personal account, you should contact AB “SEB Bank” for this information. 

If you have received shares, e.g. as compensation for restitution of landed property or as compensation for property taken by the state for public use, or in other similar cases, you will need to obtain the decisions of the relevant public authorities on the granting of shares. These documents are and have been issued to a specific person. If you do not have such documents, you should contact the relevant public authorities to obtain such decisions.
